Terms of Service

These Terms of Service (“Terms”) form a binding agreement between ElthianLabs, a division of Elthian LLC, a Delaware limited liability company (“ElthianLabs”, “we”, “us”, or “our”), and the person or entity downloading, installing, activating, accessing, or using any ElthianLabs software, plugin, or hosted service (“Customer”, “you”, or “your”). By downloading, installing, activating, accessing, or using any ElthianLabs software or service, you agree to be bound by these Terms. If you do not agree, do not download, install, activate, access, or use the software or service.

1. Company Disclosures

ElthianLabs is a development division operated by Elthian LLC, a limited liability company formed under the laws of the State of Delaware, United States of America.

2. Definitions

  • “Software” means any plugin, library, SDK, command-line tool, or other software product made available by ElthianLabs under these Terms, including but not limited to Elthian AI Licensing Lite and Elthian AI Licensing Pro.
  • “Service” means any hosted infrastructure operated by ElthianLabs, including without limitation the Elthian AI Licensing registry, ingestion endpoints, verification endpoints, certificate endpoints, and the Service API at api.elthian.com.
  • “Lite Plugin” means Elthian AI Licensing Lite, a free, GPL-licensed WordPress plugin distributed via the WordPress.org Plugin Directory and elsewhere.
  • “Pro Plugin” means Elthian AI Licensing Pro, a paid, GPL-licensed WordPress plugin distributed by ElthianLabs and requiring a valid License Key to be eligible for certain Service features such as signed declaration snapshots and certificate issuance.
  • “License Key” means the credential issued by ElthianLabs that authenticates a Pro Plugin installation against the Service.
  • “Customer Site” means the WordPress installation or other website on which you install Software.
  • “Declaration” means the machine-readable AI policy document generated by the Software describing how AI systems may access, index, train on, or reuse the content of a Customer Site.
  • “Snapshot” means a canonical record of a Declaration submitted to and stored by the Service.
  • “Signature” means a cryptographic attestation issued by the Service over a Snapshot for an eligible, verified Pro Plugin installation.
  • “Certificate” means the public, addressable record of a Signature accessible at a certificate URL or PDF endpoint issued by the Service.
  • “Customer Data” means data submitted by you or by Software installed on your Customer Site to the Service, including Declarations, Snapshots, site identifiers, site URLs, plugin and environment metadata, and verification artifacts.

3. The Software and the Service

3.1 Software license

The Software is licensed under the GNU General Public License, version 2 or later (“GPL”), and is provided in source-available form. The GPL governs your rights to use, copy, modify, and redistribute the Software itself. Nothing in these Terms is intended to override the rights granted to you under the GPL with respect to the source code of the Software.

These Terms govern (i) your use of the Service, (ii) commercial matters relating to the Pro Plugin such as purchase, License Keys, refunds, support, and updates, and (iii) any non-GPL components, including but not limited to ElthianLabs trademarks, branding assets, certificate artwork, hosted infrastructure, and the Service API.

3.2 What the Software does

The Lite Plugin and Pro Plugin generate and publish a machine-readable AI policy Declaration on the Customer Site, including without limitation an llms.txt file, a JSON policy file under /.well-known/, an AI licence sitemap, HTTP response headers, robots.txt augmentations, and a public licence page. The Software may, only where a site administrator has expressly enabled Registry Sync or manually initiated a sync, transmit Declaration data to the Service for registration in the Elthian registry.

3.3 What the Service does

The Service receives Declarations submitted by Software installations, stores Snapshots of those Declarations, exposes policy resolution and crawl endpoints, performs domain verification of Pro Plugin installations, issues Signatures and Certificates for eligible Pro Plugin installations, and provides administrative interfaces to ElthianLabs personnel for operating the platform.

3.4 Modifications

ElthianLabs may, at its sole discretion and acting reasonably, modify, improve, replace, suspend, or discontinue any feature of the Software or the Service from time to time. Where a modification materially reduces a paid feature of the Pro Plugin during a paid term, ElthianLabs will use reasonable efforts to provide advance notice and a comparable alternative or, at ElthianLabs’s option, a prorated refund of unused fees for the affected feature.

4. Eligibility, Authority and Account Registration

You may only use the Software or Service if you have the legal capacity to enter into a binding agreement under the laws of your jurisdiction. If you accept these Terms on behalf of a company, partnership, non-profit, agency, or other legal entity, you represent and warrant that you have the authority to bind that entity, and “you” and “your” refer to that entity.

Where the Service requires you to create an account or generate a License Key, you must provide accurate, current, and complete information, keep that information updated, and maintain the confidentiality of any credentials issued to you. You are responsible for all activity occurring under your account or your License Key. You must notify ElthianLabs promptly of any suspected unauthorized use, compromise, or security incident affecting your account or your License Key at security@elthianlabs.com.

5. Pro Plugin Licenses, Fees and Billing

5.1 License grant

Subject to your full and ongoing compliance with these Terms and your payment of all applicable fees, ElthianLabs grants you a non-exclusive, non-transferable, revocable right, during the applicable subscription term, to (i) install and activate the Pro Plugin on the number of Customer Sites permitted by your purchased plan, (ii) generate and submit Declarations from those Customer Sites to the Service, and (iii) receive Service features applicable to your purchased plan, including domain verification, signed Snapshots, and Certificates.

5.2 Fees and billing cycle

Pro Plugin fees are billed in advance on a recurring basis, monthly or annually, as selected by you at checkout. All fees are quoted exclusive of any applicable sales, use, value-added, withholding, or similar taxes, which are your responsibility unless ElthianLabs is required by law to collect them.

5.3 Renewals and cancellation

Subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date through your account dashboard or by emailing billing@elthianlabs.com. Cancellation takes effect at the end of the current paid billing period; the Pro Plugin and applicable Service features remain available until then.

5.4 Refunds

Subject to any non-waivable consumer protection rights in your jurisdiction, ElthianLabs offers refunds in accordance with its Refund Policy, which forms part of these Terms by reference. Where the Refund Policy is silent, fees are non-refundable once a billing period has commenced.

5.5 Late payment and suspension

If a payment fails or is overdue, ElthianLabs may (i) retry the payment using the payment method on file, (ii) suspend or downgrade access to paid Service features, including signing eligibility and certificate issuance, until payment is received, and (iii) after reasonable notice, terminate the subscription. The Lite Plugin’s functionality is not gated behind payment and remains available.

5.6 Price changes

ElthianLabs may change prices for new billing periods on reasonable advance notice, which may be given by email to your account email address or via the ElthianLabs website. Continued use after the price change takes effect constitutes acceptance of the new price.

6. Customer Data and Privacy

6.1 Ownership of Customer Data

As between the parties, you retain ownership of all Customer Data. You grant ElthianLabs a worldwide, royalty-free, non-exclusive license to host, store, process, transmit, display, and make publicly addressable Customer Data solely as necessary to operate, secure, support, and improve the Service and to issue Certificates that are by their nature publicly verifiable.

6.2 Public artifacts

You acknowledge and agree that certain artifacts produced by the Service are inherently public, including without limitation the policy declaration files generated by the Software on your Customer Site, the public Certificate URLs and Certificate PDFs issued by the Service, and any registry endpoints that ElthianLabs operates to make Declarations discoverable to AI systems and crawlers. The purpose of the Software and Service is to make these artifacts findable.

6.3 Privacy Policy

ElthianLabs’s collection, use, disclosure, and protection of personal information in connection with the Service is governed by the Privacy Policy, which forms part of these Terms by reference.

6.4 Your responsibilities

You warrant that you have all necessary rights, permissions, notices, and lawful grounds to (i) submit the Customer Data you submit to the Service, (ii) declare AI policy on behalf of the Customer Site, and (iii) authorize the publication of public artifacts on the Customer Site and at the Service. You will not submit personal information of third parties as Declaration content beyond what is necessary to operate the Software and Service, and in no event will you submit special categories of personal data, payment card data, or government identifiers as Declaration content.

7. Acceptable Use

You may not, and may not permit any third party to:

  • use the Software or Service for any unlawful, fraudulent, deceptive, infringing, defamatory, abusive, harassing, discriminatory, or harmful purpose;
  • submit Declarations on behalf of a website or domain you do not own or are not authorized to represent;
  • submit Declarations containing materially false, misleading, or deliberately deceptive policy statements designed to mislead AI systems or downstream users;
  • interfere with, disrupt, probe, overload, reverse-engineer for circumvention, or attempt to gain unauthorized access to the Service or any connected systems;
  • circumvent, disable, or attempt to circumvent any rate limiting, authentication, signing eligibility, domain verification, or other Service control;
  • resell, sub-license, share, or otherwise transfer your Pro Plugin license or License Key to any unrelated third party, except as expressly permitted in a plan you have purchased;
  • use the Service to generate, host, or distribute Certificates with the intent to deceive crawlers, advertisers, AI labs, regulators, or any other party about the actual policy or ownership of a Customer Site;
  • use the Software or Service to facilitate any activity that violates the law applicable to you, including applicable export control laws, sanctions, and intellectual property laws.

You are solely responsible for your use of the Software and Service and for ensuring that your use complies with all laws applicable to you, including consumer protection, privacy, intellectual property, advertising, and sector-specific laws.

8. Intellectual Property

ElthianLabs and its licensors retain all right, title, and interest in and to (i) the Service, (ii) the trademarks, logos, brand assets, and product names of ElthianLabs and Elthian, (iii) the visual design and artwork of Certificates produced by the Service, (iv) the Service API specifications, schemas, and documentation, and (v) any non-GPL components distributed alongside the Software. No rights are granted to you in respect of these items except as expressly set out in these Terms.

The Software is licensed under the GPL and your rights with respect to the Software source code are as set out in the GPL. Your right to display ElthianLabs trademarks, including the “Elthian AI Licensing” mark and any Certificate branding, is limited to (i) the use that automatically occurs when the Software is installed and operated as intended on a Customer Site, and (ii) factual references to the Software or Service in accordance with customary fair use. You may not use ElthianLabs trademarks in a manner that suggests ElthianLabs sponsors, endorses, or is affiliated with you beyond what is true.

You grant ElthianLabs a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use any feedback, suggestions, or ideas you provide about the Software or Service, for any purpose, without obligation or attribution to you. ElthianLabs may use anonymized and aggregated data derived from operation of the Service for analytics, security, capacity planning, research, and product improvement.

9. Third-Party Platforms and Services

The Service may make use of, or interoperate with, third-party platforms, infrastructure providers, payment processors, hosting providers, content delivery networks, email providers, monitoring services, and similar service providers. Your use of those third-party services through the Software or Service is also subject to the third party’s own terms and policies.

ElthianLabs is not responsible for any downtime, suspension, delivery failure, account limitation, or other action taken by a third-party platform, including by AI labs, crawlers, search engines, hosting providers, or payment processors.

10. Confidentiality

Each party will protect the other party’s non-public information that is disclosed in connection with these Terms using at least the same degree of care that it uses to protect its own confidential information of similar importance, but not less than reasonable care, and will not use the other party’s non-public information except as necessary to perform under these Terms. This Section does not apply to information that is publicly available, was independently developed without reference to the disclosing party’s information, was rightfully received from a third party without confidentiality obligation, or is required to be disclosed by law.

11. Suspension and Termination

You may cancel your Pro Plugin subscription at any time as set out in Section 5.3. The Lite Plugin may be uninstalled at any time through your WordPress installation.

ElthianLabs may suspend or terminate your access to the Service, your account, or your License Key, immediately and without prior notice, if (i) you materially breach these Terms, including without limitation Section 7 (Acceptable Use), (ii) your account is more than thirty (30) days past due, (iii) ElthianLabs reasonably believes that continued provision would create a security, legal, or operational risk, or (iv) required to do so by law.

On termination, (i) your right to use the Service and any paid Service features ends, (ii) the Lite Plugin remains usable in accordance with the GPL, (iii) ElthianLabs may retain Customer Data and operational records for a period consistent with its retention practices, legal obligations, and the public nature of historical Declarations and Certificates, and (iv) Sections 6.1, 6.2, 8, 10, 12, 13, 14, 15, 16, and 17 survive termination.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the Software and Service are provided “AS IS” and “AS AVAILABLE”, with all faults and without warranty of any kind. ElthianLabs expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted operation, or freedom from harmful components.

Without limiting the foregoing, ElthianLabs does not warrant that (i) AI systems, crawlers, search engines, or any third party will respect, read, parse, or honor Declarations or Certificates produced by the Software or Service, (ii) the Software or Service will detect or prevent any unauthorized access, scraping, or training use of Customer Site content, (iii) Declarations, Certificates, or any output of the Software or Service constitute legal advice or have any particular legal effect in any jurisdiction, (iv) the Service will be uninterrupted, error-free, secure, or free of harmful components, or (v) any specific feature, signal, or signature will be enforceable against any specific third party.

You acknowledge that the Software and Service are policy-publishing tools and not enforcement mechanisms, and that the legal effect of an AI licensing declaration, including under any current or future copyright, contract, or computer access law, depends on factors outside ElthianLabs’s control.

13. Limitation of Liability

To the maximum extent permitted by law, in no event will ElthianLabs or its affiliates, officers, members, employees, contractors, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, lost business opportunity, loss of goodwill, loss of data, or cost of substitute services, arising out of or relating to the Software, the Service, or these Terms, whether in contract, tort (including negligence), strict liability, or any other theory, and whether or not ElthianLabs has been advised of the possibility of such damages.

To the maximum extent permitted by law, ElthianLabs’s aggregate liability arising out of or relating to the Software, the Service, or these Terms, however arising, will not exceed the greater of (i) the total fees actually paid by you to ElthianLabs in the six (6) months immediately preceding the event giving rise to the claim, or (ii) one hundred United States dollars (USD 100). The Lite Plugin is provided free of charge and ElthianLabs’s liability with respect to the Lite Plugin will not exceed USD 100.

The limitations in this Section apply to the fullest extent permitted by law in the applicable jurisdiction and form an essential basis of the bargain between the parties. Some jurisdictions do not allow the exclusion or limitation of certain damages, in which case the foregoing exclusions and limitations apply only to the extent permitted by the law of your jurisdiction.

14. Indemnification

You will defend, indemnify, and hold harmless ElthianLabs and its affiliates, officers, members, employees, contractors, agents, and licensors against any third-party claim, action, demand, loss, damage, judgment, settlement, fine, or expense (including reasonable attorneys’ fees) arising out of or relating to (i) your use of the Software or Service in breach of these Terms or applicable law, (ii) Customer Data you submit to the Service or publish via the Software, (iii) your Customer Site content, (iv) your representation that you are authorized to declare AI policy on behalf of a domain, or (v) your violation of any third party’s rights, including intellectual property rights.

ElthianLabs will give you prompt notice of any claim covered by this Section, allow you to control its defense and settlement (provided that any settlement that imposes obligations on ElthianLabs other than the payment of money requires ElthianLabs’s prior written consent), and cooperate with you at your reasonable expense.

15. Governing Law and Dispute Resolution

15.1 Governing law

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15.2 Informal resolution

Before initiating any formal proceeding, the parties will attempt in good faith to resolve any dispute by sending a written notice describing the dispute to privacy@elthianlabs.com (in the case of a dispute raised by you) or to your account email address (in the case of a dispute raised by ElthianLabs), and engaging in informal discussions for at least thirty (30) days.

15.3 Forum

Subject to Section 15.2, the parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for any action arising out of or relating to these Terms. Each party waives any objection to venue in those courts.

15.4 No class actions

To the maximum extent permitted by law, you and ElthianLabs each agree that any dispute arising out of or relating to these Terms will be brought in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

16. Changes to These Terms

ElthianLabs may amend these Terms from time to time. Material changes will be communicated by email to your account email address, by notice on the ElthianLabs website, or by in-Service notification, and will become effective on the date stated in the notice or, if no date is stated, thirty (30) days after the notice is given. Your continued use of the Software or Service after a change becomes effective constitutes acceptance of the change. If you do not accept a change, your sole remedy is to cancel your subscription and stop using the Software and Service before the change takes effect.

17. General

  • Entire agreement. These Terms, together with the Privacy Policy, the Refund Policy, and any plan-specific terms agreed at the time of purchase, constitute the entire agreement between the parties with respect to their subject matter and supersede all prior or contemporaneous agreements.
  • Assignment. You may not assign or transfer these Terms or any rights under them without ElthianLabs’s prior written consent. ElthianLabs may assign these Terms without restriction, including to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of assets.
  • Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship.
  • No waiver. Failure to enforce any provision is not a waiver of any right under these Terms.
  • Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
  • Notices to ElthianLabs. Legal notices must be sent to legal@elthianlabs.com, with a copy to the registered office address listed in Section 1.
  • Notices to you. Notices may be sent by email to your account email address, by posting on the ElthianLabs website, or via in-Service notification.
  • Force majeure. Neither party is liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including without limitation acts of God, war, terrorism, civil unrest, government action, labour disputes, internet or telecommunications failures, hosting provider outages, or pandemic.
  • Export and sanctions. You represent that you are not located in, under the control of, or a national or resident of any country or on any list of restricted persons under U.S. export control or sanctions laws, and that you will not use the Software or Service in violation of any such laws.
  • Headings. Section headings are for convenience only and do not affect interpretation.

By installing, activating, or using the Software or the Service, you confirm that you have read, understood, and agreed to these Terms.
